S&C Electric Company and MacLean Power Systems Close Agreement

April 19, 2010—S&C Electric Company (S&C) and MacLean Power Systems (MPS) today announcedthat they have closed their previously announced agreement on polymer and porcelain cutouts. Under this agreement, MPS has acquired certain assets related to S&C's polymer fuse cutout line and has been granted by S&C the exclusive rights to market and sell porcelain fuse cutouts in the U.S. and Canada. All open orders previously placed with S&C will now be filled by MPS, and all new Type XS cutout orders for the U.S. and Canadian markets should be placed with MPS.

The addition of fuse cutouts to MPS's product offering is in response to customer requests for MPS to provide a more complete market basket for distribution line construction. The fuse cutout better aligns MPS with the competition and positions MPS to provide improved supply chain economies. For polymer fuse cutouts specifically, the agreement combines S&C's industry-leading fuse cutout expertise with MPS's world-class capabilities in silicone rubber insulator design and manufacturing.

For S&C, this agreement enables the company's U.S. and Canadian teams to more strongly focus on developing innovative new products, including those for the Smart Grid.
