MacLean Power Systems Acquires Polymer Cutout Business, Granted Rights to Sell Porcelain Cutouts from S&C Electric Company

S&C Electric Company (S&C) and MacLean Power Systems (MPS) have entered into a definitive agreement whereby MPS will acquire certain assets related to S&C's polymer fuse cutout line and will be granted by S&C the exclusive rights to market and sell porcelain fuse cutouts in the U.S. and Canada. The transaction is expected to close by April 16, 2010.

Type XS porcelain fuse cutouts will continue to be manufactured by S&C in their Suzhou, China facility and sold exclusively by MPS in the U.S. and Canada under the MPS brand name. The assets related to the Type XS polymer fuse cutout will be relocated to MPS's York, SC facility.

The addition of fuse cutouts to MPS's product offering is in response to customer requests for MPS to provide a more complete market basket for distribution line construction. The fuse cutout better aligns MPS with the competition and positions MPS to provide improved supply chain economies. For polymer fuse cutouts specifically, the agreement combines S&C's industry-leading fuse cutout expertise with MPS's world-class capabilities in silicone rubber insulator design and manufacturing.

Until the agreement closes on April 16, 2010, MPS and S&C will conduct business as usual.
